Terms of Service

These Terms of Service (“Terms”) govern your use of Neatbase, a software application and related services provided by Bitzag LLC (“we,” “us,” or “our”). By downloading, installing, or using Neatbase, you agree to these Terms. If you do not agree, do not use Neatbase.

1. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use Neatbase for personal or commercial purposes in accordance with these Terms. Your access to Neatbase is licensed, not sold. We retain all rights, title, and interest in the application, including all intellectual property rights.

2. Your Content

You retain full ownership of all data, content, and materials you create or store in Neatbase (“Your Content”). We do not claim any intellectual property rights over Your Content.

You are solely responsible for Your Content, including ensuring you have the right to store and share it. When you use features that transmit data through our servers (such as web forms or notebook sharing), you grant us a limited license to host and transmit that data solely for the purpose of providing those features.

3. Subscriptions & Payments

Neatbase offers a free tier and an optional paid subscription (“Neatbase Pro”). Subscriptions are billed through Apple’s App Store and are subject to Apple’s terms and policies.

• Subscriptions automatically renew unless cancelled at least one day before the end of the current billing period.
• You can manage or cancel your subscription at any time through your Apple account settings.
• Refunds are handled by Apple in accordance with their App Store terms.

We reserve the right to change subscription pricing. Any price changes will apply to the next billing cycle after the change is announced.

4. Free & Pro Tiers

The free tier of Neatbase includes core notebook functionality. Certain features require an active Neatbase Pro subscription, including notebook sharing, web forms, the REST API, and select advanced field types. The scope of free and Pro features may change over time.

If your Pro subscription expires, server-side features remain active during a short grace period. If your renewal fails due to a billing issue, Apple’s Billing Grace Period allows continued access while Apple retries billing. After all grace periods expire, web forms are unpublished, shared notebooks you own have sharing stopped (other participants lose access), and API access is disabled. Your locally stored data is not affected.

5. Web Forms

Neatbase allows you to publish web forms that third parties can submit responses to. You are responsible for:

• The content and legality of your forms
• Compliance with applicable data collection laws (including GDPR, CCPA, or other regulations) when collecting data from others
• Informing respondents about how their data will be used

We act as a data processor for web form submissions, not a data controller. We temporarily store submissions until your app imports them, after which they are deleted from our server.

6. Notebook Sharing

Neatbase allows you to share notebooks with others via a link. Shared data is encrypted on your device before being transmitted. You are responsible for who you share the link with. Anyone with the full share link can join and access the shared notebook.

The notebook owner can stop sharing or remove participants at any time. When sharing is stopped or a participant is removed, their copy of the shared notebook is automatically deleted from their device. We recommend maintaining independent copies of any critical data in shared notebooks you do not own.

We are not responsible for unauthorized access resulting from the distribution of share links, or for data loss resulting from an owner stopping a share or removing participants.

7. REST API

Neatbase Pro includes an optional REST API that allows external services to read and write notebook data. By enabling the API, you acknowledge that:

• You are responsible for safeguarding your API key. Anyone with your API key can access the associated notebook data
• API access is subject to rate limits. We may throttle or suspend access that exceeds published limits or degrades service for others
• We are not responsible for data loss or unauthorized access caused by compromised API keys

Disabling the API immediately revokes all external access.

8. Acceptable Use

You agree not to:

• Use Neatbase for any unlawful purpose
• Attempt to reverse-engineer, decompile, or disassemble the application
• Interfere with or disrupt our servers or services
• Use web forms to collect data in violation of applicable privacy laws
• Abuse our services through automated means, excessive API calls, or other methods that degrade service for others

9. Availability & Support

We strive to keep Neatbase and its related services available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the service at any time without prior notice.

10. Disclaimer of Warranties

Neatbase is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the app will be free of bugs, errors, or security vulnerabilities, or that your data will never be lost. You are responsible for maintaining your own backups.

11. Limitation of Liability

To the maximum extent permitted by law, Bitzag LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising from your use of or inability to use Neatbase.

Our total liability for any claim arising from these Terms or your use of Neatbase shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or fifty US dollars ($50), whichever is lesser.

12. Termination

You may stop using Neatbase at any time by deleting the app. Your locally stored data will be removed with the app, and iCloud data can be managed through your iCloud settings.

We may suspend or terminate your access to our server-side services (including web forms, notebook sharing, and REST API access) if you violate these Terms, with or without notice. Upon termination, any data stored on our servers related to your use will be deleted.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States, without regard to its conflict of law provisions.

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Neatbase shall be resolved exclusively by binding individual arbitration administered in Jefferson County, Kentucky. The arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against Bitzag LLC.

Exceptions. Either party may bring a claim in small claims court in Jefferson County, Kentucky, if the claim qualifies. Nothing in this section prevents Bitzag LLC from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date at the top of this page. Your continued use of Neatbase after any changes constitutes acceptance of the updated Terms.

15. Age Requirement

Neatbase is not directed to children under the age of 13. If you are under 13, you may not use Neatbase. If we become aware that a child under 13 has provided personal data through our services, we will take steps to delete that data.

16. Indemnification

You agree to indemnify and hold harmless Bitzag LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or related to your use of Neatbase, Your Content, your violation of these Terms, or your violation of any rights of any third party.

17. General

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If we do not act on a violation, we still reserve the right to act on that or similar violations in the future.

We may assign or transfer our rights and obligations under these Terms without your consent, including in connection with a merger, acquisition, or sale of assets. You may not assign or transfer your rights under these Terms.

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, or cyberattacks.

Sections 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 13 (Governing Law & Dispute Resolution), and 16 (Indemnification) shall survive any termination or expiration of these Terms.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bitzag LLC regarding your use of Neatbase and supersede any prior agreements.
